These Terms of Service ("Terms") govern your access to and use of the PPR Smart System website, products, and services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.
These Terms apply to all visitors, users, and clients. Additional terms may apply to specific engagements and will be set out in a separate Statement of Work or signed agreement.
PPR Smart System provides software development, IT infrastructure and support, cloud services, cybersecurity, smart automation, data analytics, and web and digital services. The scope, deliverables, timelines, and fees for any engagement will be documented in a mutually signed proposal or agreement.
To ensure a successful engagement, clients agree to:
Fees, payment schedules, and invoicing terms are specified in the applicable proposal or agreement. Invoices are due within the period stated therein. Overdue amounts may accrue interest and, at our discretion, result in pausing work until balances are settled. Taxes, where applicable, are the responsibility of the client.
Upon full payment, ownership of custom-developed deliverables is transferred to the client, except for pre-existing PPR Smart System tools, frameworks, libraries, and know-how, which remain our property and are licensed to the client for use with the delivered solution.
Third-party components used in deliverables are subject to their respective licenses. Clients retain ownership of all data and content they provide.
Both parties agree to protect confidential information disclosed during an engagement and to use it only for the purposes of delivering the Services. Confidentiality obligations survive termination of the engagement.
We provide the Services with reasonable skill and care, in line with industry standards. Except as expressly stated in a signed agreement, the Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that the Services will be uninterrupted, error-free, or that defects will be immediately corrected.
To the maximum extent permitted by law, PPR Smart System's aggregate liability arising out of or related to the Services will not exceed the fees paid by the client for the specific engagement giving rise to the claim in the three (3) months preceding the event. We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, revenue, or data.
Either party may terminate an engagement as provided in the applicable agreement. Upon termination, the client remains responsible for payment of work completed up to the termination date. Provisions that by their nature should survive termination (including confidentiality, intellectual property, and limitation of liability) will continue to apply.
These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any disputes arising out of or related to these Terms or the Services will be subject to the exclusive jurisdiction of the competent courts in India, unless otherwise agreed in writing.
We may update these Terms from time to time. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms. Material changes will be posted here with an updated "Last updated" date.
